  4. These Terms and Conditions ("Terms", "Agreement") govern your access to and use of the Odoo for Care software-as-a-service platform ("Service", "Platform") provided by Wolf Logic Ltd ("Company", "we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.

    1. "Service" means the Odoo for Care SaaS platform and all related services provided by Wolf Logic Ltd.
    2. "User", "you", "your" means any individual or entity that accesses or uses the Service.
    3. "Account" means your user account registered with the Service.
    4. "Content" means any data, information, text, files, or other materials uploaded, stored, or transmitted through the Service.
    5. "Subscription" means the paid access plan you have selected for the Service.

  8. By registering for, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

  10. Odoo for Care is a cloud-based software-as-a-service platform designed for care management. The Service is hosted and operated by Wolf Logic Ltd, with all data storage and processing occurring within the European Union.
  11. 5. Account Registration and Security
  12. 5.1 Account Creation
  13. You must provide accurate, current, and complete information during registration and maintain such information as current.
  14. 5.2 Account Security
  15. You are responsible for:
    1. Maintaining the confidentiality of your account credentials
    2. All activities that occur under your account
    3. Notifying us immediately of any unauthorized use of your account
    4. Ensuring that you log out from your account at the end of each session
  17. 5.3 Account Eligibility
  18. You must be at least 18 years old or have the legal capacity to enter into contracts in your jurisdiction to use the Service.
  19. 6. Data Hosting and Location
  20. All data submitted to the Service is hosted and stored on servers located within the European Union. By using the Service, you acknowledge and consent to the storage and processing of your data within the European Union.
  21. 7. User Obligations and Acceptable Use
  22. 7.1 Acceptable Use
  23. You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
    1. Violate any applicable laws or regulations
    2. Infringe upon the rights of others
    3. Transmit any malicious code, viruses, or harmful data
    4. Attempt to gain unauthorized access to the Service or related systems
    5. Interfere with or disrupt the Service or servers
    6. Use the Service to transmit spam, unsolicited communications, or advertising
    7. Reverse engineer, decompile, or disassemble any part of the Service
    8. Use automated systems to access the Service without authorization

  26. You are solely responsible for all Content that you upload, store, or transmit through the Service. You represent and warrant that:
    1. You have all necessary rights and permissions to use and share such Content
    2. Your Content does not violate any third-party rights
    3. Your Content complies with all applicable laws and regulations

  29. 8.1 Service Ownership
  30. The Service, including all software, technology, designs, text, graphics, and other materials, is owned by Wolf Logic Ltd or its licensors and is protected by intellectual property laws.
  31. 8.2 User Content
  32. You retain ownership of any Content you submit to the Service. By submitting Content, you grant Wolf Logic Ltd a worldwide, non-exclusive, royalty-free license to use, store, and process such Content solely for the purpose of providing the Service to you.
  33. 8.3 Restrictions
  34. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
  35. 9. Subscription and Payment Terms
  36. 9.1 Subscription Plans
  37. The Service is offered on a subscription basis. Subscription plans, features, and pricing are available on our website and may be updated from time to time.
  38. 9.2 Payment
    1. Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected)
    2. All fees are non-refundable except as required by law or as explicitly stated in these Terms
    3. You are responsible for providing valid payment information
    4. We reserve the right to change our pricing with 30 days' notice
  40. 9.3 Automatic Renewal
  41. Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings.
  42. 9.4 Payment Failure
  43. If payment fails, we may suspend or terminate your access to the Service until payment is successfully processed.
  44. 10. Service Availability and Modifications
  45. 10.1 Service Availability
  46. We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:
    1. Scheduled maintenance
    2. Unscheduled maintenance or repairs
    3. System failures or technical issues
    4. Force majeure events
  48. 10.2 Service Modifications
  49. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

  52. While we implement reasonable technical measures to protect data, you are responsible for maintaining your own backups of all Content. We recommend that you regularly export and backup your data.
  53. 11.2 No Responsibility for Data Loss
  54. WOLF LOGIC LTD SHALL NOT BE LIABLE FOR ANY LOSS OF DATA, INCLUDING BUT NOT LIMITED TO:
    1. Loss of Content due to system failures, errors, or malfunctions
    2. Accidental deletion of data by users
    3. Data corruption
    4. Loss of data due to security breaches or unauthorized access
    5. Loss of data during service interruptions or maintenance
    6. Any other form of data loss, regardless of cause You acknowledge that you use the Service at your own risk and are solely responsible for maintaining adequate backups of your data.
  56. 12. Privacy and Data Protection

  58. Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

  63. 13. Limitation of Liability
  64. 13.1 Disclaimer of Warranties
  65. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
  66. 13.2 Limitation of Liability
  67. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WOLF LOGIC LTD, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
    1. ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
    2. LOSS OF PROFITS, REVENUE, DATA, OR USE
    3. BUSINESS INTERRUPTION
    4. LOSS OF GOODWILL OR REPUTATION
    5. ANY OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  69. 13.3 Maximum Liability
  70. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICE EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED POUNDS (£100), WHICHEVER IS GREATER.
  71. 13.4 Exclusions
  72. Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

  74. You agree to indemnify, defend, and hold harmless Wolf Logic Ltd, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorneys' fees) arising from:
    1. Your use of the Service
    2. Your violation of these Terms
    3. Your violation of any third-party rights
    4. Any Content you submit, post, or transmit through the Service
  76. 15. Termination
  77. 15.1 Termination by You
  78. You may terminate your account at any time by cancelling your subscription through your account settings or by contacting us.
  79. 15.2 Termination by Us
  80. We may suspend or terminate your access to the Service immediately, without prior notice, if:
    1. You breach these Terms
    2. You fail to pay subscription fees
    3. We suspect fraudulent or illegal activity
    4. We are required to do so by law
    5. We decide to discontinue the Service
  82. 15.3 Effect of Termination
  83. Upon termination:
    1. Your right to use the Service will immediately cease
    2. We may delete your account and Content after a reasonable period (typically 30 days)
    3. You remain responsible for all fees incurred prior to termination
    4. Provisions that by their nature should survive termination will survive
  85. 16. Export and Data Portability
  86. Upon termination or at your request, you may export your data in a standard format. We will provide reasonable assistance with data export, subject to technical feasibility and applicable fees.

  88. The Service may integrate with or link to third-party services. We are not responsible for the availability, content, or practices of such third-party services. Your use of third-party services is subject to their respective terms and conditions.
  89. 18. Force Majeure
  90. We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, internet failures, or government actions.
  91. 19. Changes to Terms
  92. We reserve the right to modify these Terms at any time. We will notify you of material changes by:
    1. Posting the updated Terms on our website
    2. Sending an email to the address associated with your account
    3. Displaying a notice within the Service Your continued use of the Service after such notification constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

  95. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

  97. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

  99. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wolf Logic Ltd regarding the Service and supersede all prior agreements and understandings.

  101. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign or transfer these Terms or our rights and obligations hereunder without restriction.
  102. 24. Governing Law and Jurisdiction
